Vita Spire reserves the right to modify website content, product information, pricing, and availability without prior notice.

2. Product Information and Suitability

While Vita Spire makes reasonable efforts to ensure the accuracy of published product information, all specifications, purity data, application references, technical parameters, and descriptions are provided as general guidance only. Product suitability depends on customer-specific applications, processing conditions, regulatory requirements, and intended use. Customers are solely responsible for independently evaluating the suitability of products for their intended applications.

3. Research, Industrial, and Professional Use

Unless explicitly stated otherwise in writing, products supplied by Vita Spire are intended for research, industrial, formulation development, and professional commercial applications only. Customers are responsible for ensuring lawful handling, transportation, storage, import compliance, regulatory approvals, and end-use compliance in their respective jurisdictions.

4. Quotations and Orders

All quotations are non-binding unless expressly confirmed in writing. Product pricing, specifications, packaging, availability, lead times, and minimum order quantities may change without notice prior to formal order acceptance. Orders are only considered accepted once confirmed by Vita Spire in writing.

Customers are encouraged to provide their own FedEx shipping account for shipment arrangements. If no FedEx account is provided, shipping charges will be added to the invoice and charged accordingly. In addition, each order may be subject to a handling and processing fee.

5. Payment Terms

All orders require 100% advance payment unless otherwise agreed in writing by Vita Spire. Production, packaging, shipment preparation, or dispatch will not begin until full payment has been received and cleared. Vita Spire reserves the right to refuse or delay order fulfillment in the event of payment verification issues.

6. Shipping and Delivery

Shipping timelines provided by Vita Spire are estimated only and are not guaranteed delivery commitments. Vita Spire shall not be liable for delays caused by courier operations, customs inspections, regulatory reviews, export restrictions, documentation verification, logistics disruptions, force majeure events, or other circumstances beyond our reasonable control.

Unless otherwise agreed, customers are responsible for import duties, taxes, customs clearance fees, brokerage charges, and destination compliance requirements.

7. Inspection, Claims, and Returns

Customers are required to inspect shipments promptly upon receipt. Any visible damage, shortage, or shipping discrepancy must be reported in writing within seven (7) calendar days of delivery.

Returns require prior written approval from Vita Spire. Products returned without authorization will not be accepted.

If an order is cancelled prior to shipment after order confirmation, a 30% restocking fee will apply to cover administrative, handling, processing, and inventory allocation costs.

Once products have been shipped, cancellations will not be accepted unless a verified product quality issue is confirmed by Vita Spire.

8. Warranty Disclaimer

Except where expressly agreed in writing, all products are supplied on an “as-is” basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Technical guidance, recommendations, or application suggestions provided by Vita Spire are informational only and do not create performance guarantees.

9. Limitation of Liability

To the fullest extent permitted by law, Vita Spire shall not be liable for indirect, incidental, consequential, special, or business-related damages arising from the use of our website, products, technical information, shipping delays, regulatory restrictions, or customer application outcomes. Total liability, if any, shall not exceed the purchase price of the affected product.

10. Intellectual Property

All website content, including product descriptions, graphics, images, logos, downloadable brochures, illustrations, technical documents, and branding materials, remain the property of Vita Spire Inc. unless otherwise stated. Unauthorized reproduction, redistribution, modification, or commercial use is prohibited.

This website may contain links to third-party platforms such as LinkedIn, Facebook, X, WhatsApp, or other external websites. Vita Spire is not responsible for the content, privacy practices, availability, or policies of such third-party services.

12. Force Majeure

Vita Spire shall not be liable for delays or failures resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, strikes, transportation disruptions, customs delays, supplier shortages, cyber incidents, war, export restrictions, or governmental actions.
